General Terms and Conditions and License Agreement for TWENTY |20 GmbH & Co. KG extensions to the JetBrains project management tool YouTrack ("twenty20 YouTrack apps" license)

1. scope of application and contractual partners

1.1 These General Terms and Conditions (GTC) apply to the business relationship between the

(hereinafter "twenty20" or "we")

and

the customer company as contractual partner
(hereinafter "customer" or "you")

for the (time-limited) fee-based usage permission (license) of software extensions for JetBrains YouTrack via our online store at twenty20

1.2 These GTC apply exclusively to transactions with entrepreneurs (B2B), unless otherwise expressly regulated and confirmed by twenty20 in individual cases. In this case, any deviating regulation must be made in writing.

1.3 Deviating, conflicting or supplementary general terms and conditions of the customer shall not become part of the contract unless twenty20 has expressly agreed to their validity in writing.

2 Subject matter of the contract and services

2.1 twenty20 develops and distributes software extensions (plugins/apps) for the JetBrains program YouTrack. We currently offer the following paid extensions after a trial phase:

  • Article Approval App: enables a clear, traceable approval process for knowledge articles - with targeted invitations, decisions and discussion directly on the article

2.2 The software is provided as a license for use. The customer does not acquire any ownership rights to the software, but receives a simple (non-exclusive) and non-transferable right of use for a limited period of time in accordance with the type of license selected and granted in the store. Detailed rights of use under point 6.

2.3 The exact description of the functions, system requirements and supported YouTrack versions can be found on the respective product page in the JetBrains Marketplace or on our website.

2.4 All apps are continuously tested against the latest YouTrack main version. Compatibility with older or future versions cannot be guaranteed.

3. license models and prices

3.1 Twenty20 offers its paid YouTrack apps via the YouTrack Marketplace for a free trial period. This always ends after 30 days. Any further free use is expressly prohibited by twenty20 .

3.2 The customer receives a notification within the app about the end of the trial phase with a reference to the possibility of placing a chargeable order via the twenty20 store. This chargeable order is not placed automatically, but is linked to the active conclusion of a contract.

3.3 Current license models:

  • 1-10 users: For small teams (1-10 users), twenty20 follows the JetBrains model and offers their currently available paid YouTrack apps for free use. Twenty20 reserves the right to change this model in the future. The number of 10 users may not be exceeded.
  • From 10 users: For the continued use of the respective twenty20 YouTrack app, the purchase of paid, temporary licenses is required.

3.4 The licenses can be purchased in packages according to the number of active YouTrack users in your instance. The store contains a corresponding selection option. The selected number becomes part of the license agreement. The number of licensed users may not be exceeded.

3.5 The license is limited in time and is clearly defined at the time of purchase. The period of use is clearly and comprehensibly defined within the invoice, e.g. 365 days from activation of the license key.

3.6 The single license starts with the activation of the license key and ends automatically on the day of the period specified when the contract is concluded.

3.7 All prices for future fee-based versions are net prices plus the respective statutory value added tax, if applicable.

3.8 We reserve the right to change prices for new orders (including new orders as a continuation of a previous license). Existing contracts are not affected within the agreed period of use.

4 Conclusion of contract and order, end of contract

4.1 The presentation of the products in our online store and in the JetBrains Marketplace does not constitute a legally binding offer, but a non-binding invitation to order (invitatio ad offerendum).

4.2 For the trial phase: The contract for 30 days of free use is concluded by installing the respective app from the JetBrains Marketplace in your YouTrack instance. This ends automatically at the end of the 30 days without any special termination by either party.

4.3 For the chargeable order: The customer submits a binding offer to conclude a license agreement for the selected app by clicking on the "Order with costs" button or a similarly clearly marked button. The contract is concluded by confirmation by e-mail from twenty20 and/or by the provision of the license key.

4.4 The contract of use ends automatically without special termination by either party at the end of the period of use agreed in the contract.

4.5 The text of the contract is stored by twenty20 and can be requested at any time. These GTC can be accessed at any time on our website at twenty20.

5 Installation and technical requirements

5.1 The software is installed via the JetBrains Marketplace(https://plugins.jetbrains.com/).

5.2 Basic requirements for installation:

  • Existing YouTrack instance (cloud or server version)
  • Administrator authorization in YouTrack for the app installation
  • Internet connection for updates and support

5.3 The customer is responsible for providing a compatible YouTrack environment. We only guarantee compatibility with the YouTrack versions specified in the product description.

5.4 During installation, the base URL of the customer's YouTrack instance is stored in the JetBrains Marketplace. This information is used for license verification and support purposes.

6 Rights of use and restrictions

6.1 The customer receives a simple, non-transferable and non-sublicensable right to use the software in accordance with the purchased license.

6.2 Use is limited to the number of users specified in the license and the specific YouTrack instance. Exceeding the licensed number of users or use in multiple instances is not permitted.

6.3 Permitted uses:

  • Installation and use in the licensed YouTrack instance
  • Creation of backups for security purposes
  • Use by the licensed number of users (according to the number of license keys purchased)

6.4 Prohibited uses:

  • Reproduction beyond the intended use
  • Editing, translation or creation of derivative works
  • Reverse engineering, decompilation or disassembly
  • Renting, leasing or sublicensing to third parties
  • Removal or modification of copyright or proprietary notices
  • Use in unlicensed YouTrack instances

6.5 All rights not expressly granted shall remain with twenty20.

7 Data protection and data processing

7.1 Data processing in YouTrack:
The software processes and stores data exclusively in the YouTrack instance provided by the customer. No external data transfer takes place.

7.2 Responsibilities:

  • The customer is the controller within the meaning of the GDPR for all data in their YouTrack instance
  • The customer is responsible for compliance with data protection regulations
  • twenty20 acts as a processor only with regard to the app functionalities

7.3 Data protection compliance:
Our apps are developed in compliance with the GDPR and only process the data necessary for their functionality.

8. terms of payment

8.1 Payment shall be made in accordance with the specified payment terms.

8.2 Available payment methods:

  • Purchase on account (incl. country-specific tax statement)

8.3 In the event of late payment, twenty20 shall be entitled to charge interest on arrears at a rate of 9 percentage points above the prime rate.

8.4 Offsetting against counterclaims of the customer is only permitted if these are undisputed or have been legally established.

9. support and updates

9.1 Support services:

  • E-mail support at the address given on our website
  • Documentation and installation instructions
  • Bug fixes for reported errors

9.2 Updates and patches:
twenty20 provides updates and patches for the Software to the extent that this is technically possible and economically reasonable. Updates are made via the JetBrains Marketplace.

9.3 Limits of support:
There is no entitlement to specific updates, new functions or unlimited support. Support is provided within the scope of what is economically reasonable and only for the duration of the contractual relationship.

9.4 Update notifications:
Updates are displayed in the JetBrains Marketplace. YouTrack checks weekly for available updates. Manual checks are possible at any time.

10. warranty

10.1 Scope of warranty:
Twenty20 warrants that the software has the functions specified in the product description and is free from defects in title.

10.2 Notification of defects:
Defects must be reported to us immediately in writing (e-mail is sufficient). In the event of justified complaints, we shall, at our discretion, remedy the defect or supply a replacement.

10.3 Subsequent performance:
If the subsequent performance has finally failed, the customer may, at his discretion, demand a reduction in price or withdraw from the contract.

10.4 Warranty periods:

  • For entrepreneurs: One year from provision of the software

10.5 Exclusions:
The warranty applies exclusively to faulty performance for which twenty20 is responsible. It does not cover damage caused by improper use, changes to the YouTrack environment or interference by third parties.

11. liability

11.1 Unlimited liability:
We are liable without limitation for damages resulting from injury to life, body or health that are based on an intentional or negligent breach of duty, as well as for other damages that are based on an intentional or grossly negligent breach of duty.

11.2 Limited liability:
We shall also be liable for the breach of essential contractual obligations in the event of simple negligence, but limited to the foreseeable damage typical of the contract.

11.3 Exclusion of liability:
Our liability is otherwise excluded, in particular for:

  • Lost profit
  • Data loss (unless caused by defective software)
  • Damage caused by third parties or force majeure

11.4 Limitation of liability for free apps:
Liability for free apps is limited to intent and gross negligence.

11.5 The above limitations of liability shall also apply in favor of our vicarious agents and legal representatives.

12. termination and contract term

12.1 Free licenses:
In the case of free licenses, the contract can be terminated by either party at any time without notice by uninstalling the app.

12.2 Licenses subject to a charge:
The term and termination depend on the respective license terms, which are displayed during the purchase process.

12.3 Extraordinary termination:
The right to extraordinary termination for good cause remains unaffected. Important reasons are in particular

  • Serious violation of the terms of use
  • Payment arrears of more than 30 days
  • Insolvency of a contracting party

12.4 Consequences of termination:
The right of use shall expire upon termination of the contract. The customer must uninstall the software and delete all copies.

13. B2B-specific regulations

13.1 Extended limitations of liability for entrepreneurs:
Our liability towards entrepreneurs for indirect damages, consequential damages and loss of profit is excluded to the extent permitted by law.

13.2 Shortened limitation periods:
For entrepreneurs, warranty claims expire within one year of delivery.

13.3 Offsetting and retention:
entrepreneurs may only offset or assert rights of retention with undisputed or legally established claims.

14 Place of jurisdiction and applicable law

14.1 Applicable law:
German law shall apply to all legal relationships between us and the customer to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

14.2 Place of jurisdiction for entrepreneurs:
If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes shall be Langenfeld, Germany. However, we are also entitled to sue the customer at his place of business.

14.3 Place of jurisdiction for consumers:
The statutory place of jurisdiction applies to consumers. Mandatory consumer protection provisions of the country in which the consumer has his habitual residence shall remain unaffected.

15. online dispute resolution and consumer arbitration

15.3 As a pure B2B provider, we are not obliged and generally not willing to participate in dispute resolution proceedings before a consumer arbitration board.

16 Compliance and export control

16.1 The Customer warrants that it will only use the Software in accordance with applicable laws and regulations.

16.2 The export or re-export of the software to certain countries or to certain persons may be subject to export controls. The customer is responsible for compliance with the relevant regulations.

17. severability clause

Should individual provisions of these GTC be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be deemed to be replaced by a provision that comes closest to the economic purpose of the invalid provision.

18 Amendments to the GTC

18.1 We reserve the right to amend or supplement these GTC for future transactions.

19 Final provisions

19.1 Additional agreements to these GTC must be made in writing.

19.2 Amendments and supplements to these GTC must be made in writing. This also applies to the revocation of this written form clause.

19.3 If the customer changes his address, he is obliged to inform us of the new address immediately. If he fails to do so, our declarations shall be deemed to have been received if they are addressed to the last address known to us.
